With over 20 years of experience working with companies and with law firms, Mr. Lipton has provided legal counsel and business advice to a wide array of companies, corporate managers, and investors, on a variety of matters, with an emphasis on the healthcare space. In 2011, Mr. Lipton opened a boutique law firm (The Lipton Law Firm) focused on corporate/transactional issues. Mr. Lipton also is provides a wide variety of business advice to companies in all stages, with an emphasis on start-up/early stage companies.
Prior to forming this firm, Mr. Lipton had served as the CEO of the QuantuMed Group, a real estate firm focused on the conversion of distressed retail properties to medical, in collaboration with physician and capital partners. His previous position was the CEO of AvTurf, LLC and the General Manager for Sportexe Select/General Counsel for Sportexe Construction Services, Inc., both private-equity-owned companies. Prior to joining AvTurf/Sportexe, he served as the Dallas office managing attorney of Phillips & Reiter, PLLC, a Texas-based law firm specializing in the provision of outsourced general counsel services. Prior to joining Phillips& Reiter, Mr. Lipton was a shareholder in
Souter, Lipton & Luttrull, P.C., where he focused on corporate/transactional matters, with an emphasis on health care related transactions. Prior to the formation of this firm, Mr. Lipton spent 2005 in Phoenix, Arizona, serving as the President of DreamBrands, Inc., a start-up consumer products development company. During this time, he maintained an active law practice.
From 1999 through 2005, Mr. Lipton spent the bulk of his time in Los Angeles, California working with a biotechnology start-up. He founded a biotech company in Dallas in 1996 (Abitis Pharmaceuticals), based on science licensed from the University of Texas – Southwestern Medical Center. Abitis merged with a company in Los Angeles in 1999 (Zengen, Inc.) and Mr. Lipton assisted Zengen in raising two rounds of capital and assisted in the sale of a major corporate asset, Zengen’s interest in the Zicam™ brand, to its joint venture partner (now Matrixx Initiatives). During his years with Zengen, Mr. Lipton served in a variety of roles with Zengen and its subsidiaries, including serving as a Vice President of Sales, director, corporate secretary, General Counsel and COO. During this time he also maintained an active Texas license and law practice, maintaining an affiliation and professional relationship with former law partners. Prior to his move to Los Angeles, from 1995 through 1999, Mr. Lipton was a shareholder in Browning & Lipton, P.C. During his tenure with the firm, he continued his emphasis on corporate/transactional matters, with a healthcare focus. He also continued his representation of InovaHealth, Inc, where he had served from 1994-1995 as General Counsel and Vice President of Administration and Development.
InovaHealth, Inc. was a local full-risk (capitation) primary care-based group practice management company that Mr. Lipton assisted with a financing of expansion capital. Mr. Lipton spent 1990-1992 as an associate with Godwin, Carlton & Maxwell and 1992-1994 as an associate with Looper, Reed, Mark & McGraw. In both firms he served as a transactional health care associate. Mr. Lipton received his Juris Doctorate from Southern Methodist School of Law in 1991. He received a bachelor’s degree in psychology from the Johns Hopkins University in 1988. He is admitted to practice law in Texas.
